TERMS OF SERVICE

Payment Schedule 

The session will begin at the selected date and time and will continue for the number of hours purchased. The date & time of this session will not be secured, and no services will be performed until Payment in full has been submitted.

Delayed Payment Fees

All payments associated with package purchases, recurring invoices, or additional studio time are due strictly on the date specified on the invoice. If any invoice remains unpaid past the due date, delayed payment charges will apply to the total contract or invoice balance as follows:

  • 1.25% Charge: Assessed on day seven (7) past the payment due date (a grace period of seven (6) calendar days applies).

  • 3.75% Charge: Assessed for the first delayed month, thirty (30) calendar days past the payment due date, until the outstanding balance is paid in full.

  • 5% Charge: Assessed for every delayed month after the initial month (thirty (30) calendar days) until the outstanding balance is paid in full.

In addition to delayed payment charges, NEOCLASSIQ reserves the right to suspend any future scheduled studio sessions, pause post-production services, and withhold all uncut audio/video deliverables or downloadable links until all outstanding balances and applicable delayed payment charges are settled in full.

Chargeback Waiver & Payment Authorization

Client expressly agrees that all fees paid under these Terms—including initial booking fees, late cancellation charges, overstay invoices, and damage/cleaning fees—are legitimate charges. Client agrees not to initiate any credit card chargeback, payment dispute, or reversal with their bank or credit card provider for any fees assessed in accordance with these Terms. Should Client file an improper chargeback, Client agrees to pay all administrative expenses, attorney fees, and chargeback fees incurred by NEOCLASSIQ to collect the owed funds.

Cancellation & Rescheduling Policy 

48-Hour Non-Cancellation or Rescheduling Period: Cancellations and reschedulings for any reason, including sickness or rescheduling of the Client's guest(s), are subject to our 48-Hour Non-Cancellation or Rescheduling Period.

  • Sessions may be rescheduled or canceled up to 48 hours before the session start time within your Client Portal.

  • If a session is canceled before 48 hours of the session start time, the corresponding amount of session credits will be transferred to your Client Portal Account.

  • If the session is canceled or rescheduled within the 48-hour non-cancellation period, the full contract balance will be retained by NEOCLASSIQ, with no refund or payment due to the Client, given the high probability that NEOCLASSIQ will not be able to book that date again.

Recording Session Soft Holds

To request a temporary hold on a studio time slot without immediate payment, Clients may request a Session Soft Hold under the following terms:

  • Maximum Duration: A soft hold may be requested for a single booking session lasting a maximum of three (3) hours.

  • Expiration Period: Soft holds are valid for up to seven (7) calendar days from the date of the request. If the session is not confirmed with payment in full before the expiration of the 7-day period, the hold will automatically expire, and the time slot will be released to the public without notice.

  • First-Right Preemption: If another client attempts to book the same time slot during your 7-day hold period, NEOCLASSIQ will contact you. You will have 24 hours from notification to submit payment in full to secure the date, after which the hold will be forfeited to the paying client.

Session Completion and Extensions

As the recording session nears its end, NEOCLASSIQ staff may interrupt the recording to inform the Client that the session will end. We have a 5-10 minute grace period after your session end time, after which we invoice in 30-minute segments at our standard hourly recording rate of [$449/hr]. This invoice will be sent to you after your session. Extending a booking is solely at NEOCLASSIQ's discretion and depends on availability. Payment for this additional time will be required for the Client to receive their deliverables from that specific session. NEOCLASSIQ is not responsible for any lost recording time due to the Client or their Guest’s tardiness for any reason whatsoever.

Day-Of Studio Session Requests

The Client's session details, such as the number of guests, selected studio, mic choice, etc., must be pre-selected before the day of the session so that the studio engineer can properly prepare. We will do our best to accommodate any day-of requests from the Client, but we cannot guarantee we can incorporate all requests if they would hinder other sessions that day. If last-minute adjustments are requested by the Client, the Client requests these changes knowing that the implementation will occur within their purchased recording time and that their recording time will not be extended beyond the purchased time slot.

Online Delivery & Storage

The uncut video and audio files from the session will be delivered via an online downloadable link within 3 business days. The Client's files will be stored for 14 days after delivery, after which they will be deleted from our storage. It is the Client's responsibility to download their files within this 14-day period to retain their files. If the Client requests a file transfer after this 14-day period and we still have your files in our archive, an Archival Retrieval Fee of [$49/Session] will be charged to the Client for accessing and uploading your files from our archive. However, we cannot guarantee that we will still have your files.

Failure to Perform

Due to the event's limited and subjective nature, NEOCLASSIQ cannot be held responsible for requested images that were not taken or missed. NEOCLASSIQ is not responsible for the lack of coverage resulting from scheduling complications caused by individuals' or their guests’ lateness. NEOCLASSIQ and/or its subcontractors will do their best to fulfill all requests, but cannot guarantee delivery of all images.

Force Majeure & Limitation of Liability

NEOCLASSIQ shall not be held liable or responsible for any failure, delay, or interruption in performing its obligations if such failure arises from causes beyond its reasonable control.

  • Force Majeure Events: Covered events include, but are not limited to: severe weather, natural disasters, utility or internet outages, power failures, equipment or software failure (despite routine maintenance), acts of God, or municipal mandates. In such events, NEOCLASSIQ’s sole obligation will be to issue a credit or refund for the affected session time.

  • Liability Cap: To the maximum extent permitted by law, NEOCLASSIQ’s total cumulative liability for any and all claims, damages, or losses arising out of or related to this Agreement—whether in contract, tort, or otherwise—shall be strictly limited to the total amount actually paid by the Client to NEOCLASSIQ for the specific session giving rise to the claim. NEOCLASSIQ shall not be liable for any indirect, incidental, consequential, or punitive damages (including lost profits or lost opportunities)

  • If the NEOCLASSIQ or its assigns cannot perform this Agreement in the event that all photographic or audio materials are damaged, lost through camera or audio capture malfunction, or otherwise lost or damaged without the fault on the part of the NEOCLASSIQ, then the NEOCLASSIQ shall return any moneys paid by the Client for that session, less taxes, booking fees, or additional expenses that are expressed in the prior Invoice, and shall have no further liability with respect to the Agreement. The limit of liability for a partial loss of the original recording shall be a prorated amount of minutes of video recording lost, based on the percentage of the original recording time.

Client Liability & Property Damage

The Client assumes full financial and legal responsibility for any physical damage, loss, theft, or destruction of NEOCLASSIQ’s equipment, facilities, or property caused by the Client, their guests, employees, or independent contractors during their session time or while on the premises.

  • Damage Assessment: The Client agrees to pay the full repair cost or the current market replacement value of any damaged or stolen equipment.

  • Excessive Cleaning: If the studio space requires specialized cleaning or trash removal due to the Client's use (e.g., food spills, prohibited items), an automatic $250 cleaning fee will be charged.

  • Authorization: The Client expressly authorizes NEOCLASSIQ to charge the payment method on file for any accrued damage or cleaning fees incurred during their session.

Use of External Equipment and Operators

Unless otherwise agreed upon in writing by NEOCLASSIQ prior to the session, the use of external equipment and/or third-party equipment operators is not permitted in NEOCLASSIQ studio spaces. All recordings and operations within NEOCLASSIQ studios must use the provided in-house equipment and staff. Any unauthorized use of external equipment or operators may result in immediate termination of the studio session, with no refund provided, and potential liability for damages incurred.

Respectful Conduct Policy

We are committed to providing a safe and welcoming environment for our team and clients. We reserve the right to refuse, suspend, or terminate services without refund if any client or their guests engage in sexist, discriminatory, harassing, or otherwise abusive conduct toward our staff or others on our premises.

Content Liability & Broad Indemnification

Client assumes sole legal responsibility for all content, opinions, statements, audio, and visuals recorded or broadcast during their session. Client agrees to defend, indemnify, and hold harmless NEOCLASSIQ, its parent agency, owners, employees, contractors, and agents from any and all third-party claims, liabilities, damages, and legal expenses (including reasonable attorney fees) arising from: (a) Client's or their guests' use of NEOCLASSIQ facilities; (b) Client's breach of these Terms; or (c) any content created during the session, including claims of copyright or trademark infringement, defamation, libel, trade libel, invasion of privacy, or violation of publicity rights.

Intellectual Property & Licensing

Upon payment in full, all raw files, edited media, and final deliverables created by or for the Client during the booked session shall be considered a "work made for hire" under applicable copyright laws, with the Client deemed the sole author and owner of all rights, title, and interest therein.

To the extent any deliverable or portion thereof does not legally qualify as a "work made for hire," NEOCLASSIQ hereby grants to the Client an exclusive, fully paid-up, royalty-free, perpetual, worldwide, transferable, and sublicensable license to use, reproduce, distribute, display, perform, modify, and create derivative works from the media for any purpose, without restriction or further compensation.

  • Condition of Release: All rights, ownership, and licenses granted hereunder are strictly contingent upon NEOCLASSIQ receiving payment in full. NEOCLASSIQ retains all right, title, and interest in all studio assets, media, and deliverables, and reserves the right to withhold access, transfer, or delivery until all outstanding invoices, fees, and charges are settled.

  • Limited Promotional Reservation: Unless the Client explicitly opts out in writing prior to the session, NEOCLASSIQ retains only a limited, non-exclusive right to utilize brief excerpts and behind-the-scenes photography solely for portfolio and promotional purposes, as detailed in the Promotional Usage section.

Name, Image, & Likeness Releases

The Client grants NEOCLASSIQ a limited, non-exclusive, royalty-free license to use video clips (up to 5 minutes in duration), behind-the-scenes still photography, and audio excerpts captured during the session solely for NEOCLASSIQ’s portfolio, website, and promotional social media content.

  • Guest Releases: The Client represents and warrants that they have obtained all necessary appearance, publicity, and privacy releases from all guests and participants appearing in the session to allow NEOCLASSIQ to use such media for the promotional purposes described herein.

  • Opt-Out Provision: If the Client or their guests wish to opt out of promotional usage, the Client must notify NEOCLASSIQ in writing prior to the start of the session. Upon receipt of written notification, NEOCLASSIQ will refrain from capturing promotional still photography and will not use the session content for marketing.

Security Camera Audio Recording & Two-Party Consent

  • Studio Recording: The Client warrants that all participating hosts, guests, and attendees have been fully informed and have given explicit consent to being recorded via audio and video within the studio.

  • Security Monitoring: Security cameras are actively recording audio and video in all common areas, hallways, and studio suites 24/7 for safety and property protection. No cameras are placed in restrooms or private dressing areas.

  • Waiver: Entering NEOCLASSIQ premises constitutes express consent to security monitoring. The Client agrees to notify all accompanying guests of this monitoring prior to entering the facility.

Post-Production Services & Revision Policy

  • Submission Protocol: All video editing revision requests must be submitted exclusively through the Client's account via the Client Portal. Revision requests sent through email, private Slack channels, or text messages do not qualify as formal editing requests and will not be incorporated into edits.

  • Included Revision Allowances:

    • Pro Episodes: Includes up to three (3) rounds of edit revisions.

    • Packs of Clips: Includes up to two (2) rounds of edit revisions.

    • Graphic Design Assets: Includes up to three (3) rounds of edit revisions.

    • Custom Intro/Outro Videos: Includes up to three (3) rounds of edit revisions.

  • Excess Revision Fees: If the Client exceeds the allotted number of revision rounds, a fee of $49.00 per extra revision will be assessed for each additional request on any Pro Episode or Pack of Clips.

  • Automatic Approval & Project Closure: Deliverables are provided for review via the Client Portal. If NEOCLASSIQ receives no timestamped edit comments through the Client Portal—and no written notice requesting a deadline extension via email or private Slack channel—within ten (10) calendar days of initial asset delivery, the deliverables will automatically be deemed final, fully approved, and accepted by the Client. At that time, the project will be marked closed, final assets will be delivered, and NEOCLASSIQ and its subcontractors will have no further revision obligations.

Post-Booking Add-Ons & Invoicing

Any additional services, equipment upgrades, extra deliverables, or post-production add-ons requested by the Client after the initial booking confirmation will be added to the session record and invoiced separately.

All invoices issued for post-booking add-ons are due strictly on the date specified on the invoice. Unpaid balances for add-on services are fully subject to the terms, grace periods, delayed payment charges, and service/deliverable withholding rights outlined in our Delayed Payment Fees policy.

General Studio Rules

  • No smoking in the building.

  • No perfumes, cologne, scents, or aerosol sprays in the recording rooms.

  • No nudity or partial nudity is allowed.

  • No animals are allowed except for service animals.

  • No external operators or audio, video, or lighting equipment are allowed.

  • Food is allowed in the Lounge Room but is not permitted in the recording rooms. For catering and food deliveries: please have the food delivered to the front door, and DO NOT share our door code with the delivery person. Thank you.

  • Consumption of alcohol must be approved by NEOCLASSIQ in writing.

  • In-Person "Audience Member" Attendees‍: Unless otherwise agreed upon in writing by NEOCLASSIQ prior to the session. The Client may bring a party of up to four people, i.e., "Audience Member" attendees, into the studio suite, in addition to the people in the recording session. If the Client brings a group of more than four Audience Members, the excess individuals will be asked to leave the premises, as this is beyond our hosting capacity.

Governing Law & Venue

These Terms and any disputes arising out of or related to NEOCLASSIQ’s services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Client agrees that any legal action, suit, or proceeding arising out of these Terms shall be filed exclusively in the state courts located in the City and County of San Francisco, California, or the U.S. District Court for the Northern District of California.

Severability & Entire Agreement

These Terms constitute the final and entire agreement between NEOCLASSIQ and the Client, superseding all prior oral or written agreements or communications. If any provision of these Terms is determined to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall remain in full force and effect.
